Buyback program
The Board of Besqab AB (publ) ("Besqab or the Company") has on June 8, 2026, supported by the authorization from the Annual General Meeting on April 29, 2026, resolved to initiate two buyback programs regarding the Company's ordinary shares amounting to a maximum of SEK 50 million. The first buyback program amounts to a maximum of SEK 25 million and runs until October 24, 2026 and is designed in accordance with the Market Abuse Regulation (MAR) and the Safe Harbor Regulation. The second buyback program amounts to SEK 25 million and runs until October 24, 2026 and is designed in accordance with Nasdaq Stockholm's rules and regulations. The purpose of the buybacks is to give the Board increased scope and opportunity to adapt and improve the Company's capital structure and thereby create additional shareholder value, as well as to take advantage of any attractive acquisition opportunities.
Terms of the First Buyback Program
The First Buyback Program ("Program 1") is being implemented in accordance with the EU Market Abuse Regulation (EU) No. 596/2014 ("MAR") and the EU Commission Delegated Regulation (EU) No. 2016/1052 ("Safe Harbor Regulation"). Acquisitions of ordinary shares under Program 1 are being implemented by an investment firm or credit institution that makes its trading decisions regarding the timing of the acquisitions of ordinary shares independently of Besqab. The purpose of the buybacks within Program 1 is to reduce Besqab's share capital in order to optimize Besqab's capital structure and thereby contribute to increased shareholder value, and to fulfill obligations related to Besqab's incentive program 2024/2027, which was resolved at the Annual General Meeting on June 3, 2024.
Acquisition of ordinary shares within Program 1 takes place on Nasdaq Stockholm in accordance with Nasdaq Stockholm's rules for issuers of shares on the main market, MAR and the Safe Harbour Regulation and on the following terms and conditions:
- Repurchases may be made on one or more occasions during the period from June 9, 2026 to October 24, 2026. A maximum of so many treasury shares may be repurchased that Besqab's holding of treasury shares at any time does not exceed three (3) percent of all ordinary shares in Besqab.
- The maximum amount for which ordinary shares may be repurchased may not exceed SEK 25 million.
- Acquisitions shall be made in accordance with Nasdaq Stockholm's rules for issuers of shares on the main market and in compliance with the price restrictions that follow from this. This means that shares may not be acquired at a higher price than the higher of the prices for the most recent independent trade and the highest current independent bid on the trading venue where the purchase is made.
- Acquired ordinary shares shall be paid for in cash.
Terms of the second buyback program
Acquisition of ordinary shares under the second buyback program ("Program 2") may be made on one or more occasions during the period from June 9, 2026 to October 24, 2026. The maximum amount for which ordinary shares may be repurchased may not exceed SEK 25 million. A maximum of so many treasury shares may be repurchased that Besqab's holding of treasury shares at any time does not exceed three (3) percent of all ordinary shares in Besqab. Acquisition of ordinary shares shall be made on Nasdaq Stockholm in accordance with Nasdaq Stockholm's rules for issuers of shares on the main market and in compliance with the price restrictions that follow from this. This means that shares may not be acquired at a higher price than the higher of the prices for the most recent independent trade and the highest current independent bid on the trading venue where the purchase is made.
Publication and notification of completed share repurchases
Completed share repurchases within Program 1 and Program 2 are published through weekly press releases and on this website and are reported in accordance with MAR and Nasdaq Stockholm's rules for issuers of shares on the main stockmarket.
Total number of shares in Besqab and Besqab's holding of treasury shares
As of the date of the decision, the total number of shares in Besqab is 115,246,457 (of which 103,570,025 consisted of ordinary shares and 11,676,432 consisted of PREF B shares). Besqab holds zero (0) treasury shares before these two buyback programs were initiated.
Completed buybacks are announced after the purchase is completed. Current information is available on the Nasdaq Stockholm website, which is updated daily. Total holding of treasury shares as of August 7, 2026 amounted to 706,327 shares, corresponding to 0.68 percent of the total number of issued shares.
